Terms & Conditions for Purchase Orders: Customers to Advance
1. Quotes
Quotes are valid for thirty (30) days unless otherwise stated. Pricing is subject to changes in raw material costs, surcharges, tariffs, freight, and other supplier cost increases received prior to shipment. Quoted lead times begin upon order acknowledgement.
2. Order Acceptance
Advance Components will acknowledge all purchase orders. Orders become binding upon written acknowledgement by Advance Components. Once acknowledged, orders may not be cancelled or modified without Advance Components' written consent. Buyer is responsible for all costs incurred prior to approved cancellation.
3. Modification of Terms
These Terms & Conditions govern all sales and supersede any conflicting Buyer purchase order terms unless expressly accepted in writing by Advance Components. Acceptance of products constitutes acceptance of these Terms.
4. Payment Terms
Standard terms are Net 30 days from invoice unless otherwise agreed in writing. Credit is subject to approval. Advance Components may suspend shipments, revoke credit, require prepayment, or cancel open orders for delinquent accounts. First-time customers may be required to prepay by wire transfer or credit card. Buyer is responsible for reasonable collection costs, including attorneys' fees. Unused credit balances expire after one (1) year.
5. Taxes
Buyer is responsible for all applicable taxes unless a valid exemption certificate is provided.
6. Shipping
Unless otherwise agreed, shipments are FCA Advance Components' shipping facility (Incoterms® 2020). Title and risk of loss pass upon delivery to the carrier. Shipping shortages or damage must be reported within five (5) business days.
7. Force Majeure
Advance Components is not liable for delays caused by events beyond its reasonable control including acts of God, fire, flood, pandemic, war, terrorism, labor disputes, cyberattacks, governmental action, transportation interruptions, supplier failures, or material shortages.
8. Electronic Transactions
Electronic purchase orders, acknowledgements, approvals, invoices, emails, and electronic signatures are deemed originals and are legally binding to the fullest extent permitted by law.
9. Confidential Information
All pricing, quotations, engineering drawings, specifications, samples, software, catalogs, and proprietary information provided by Advance Components are confidential and may not be disclosed or used except for evaluating or purchasing Advance Components products.
10. Compliance with Laws
Buyer shall comply with all applicable laws, regulations, export controls, sanctions, anti-bribery laws, and import requirements relating to the purchase, resale, export, or use of Advance Components products.
11. Limited Warranty
Advance Components warrants its products to be free from defects in material and workmanship under normal use for one (1) year from the date of shipment. Advance Components' sole obligation is, at its option, to repair, replace, or credit defective products. This warranty excludes misuse, abuse, improper installation, modification, normal wear, and improper application. ALL OTHER WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED.
12. Limitation of Liability
Advance Components shall not be liable for indirect, incidental, consequential, punitive, or special damages, including lost profits or business interruption.
13. Return Policy
All returns require an RMA. Shipping shortages, shipping damage, or incorrect shipments must be reported within five (5) business days. Warranty claims must be submitted within the applicable warranty period. Products must be returned within thirty (30) days after RMA issuance. Custom, special-order, and non-stock products are non-returnable unless defective. Restocking charges may apply.
14. Governing Law
These Terms are governed by the laws of the State of Texas. Venue for any dispute shall be Dallas County, Texas.
15. Limitation on Claims
Any claim arising from the sale of products or services must be commenced within one (1) year after delivery or it is permanently barred.
16. Intellectual Property
Buyer acquires no ownership rights in Advance Components' trademarks, copyrights, patents, trade dress, domain names, or other intellectual property.
17. Complete Agreement
These Terms, together with any written quotation, acknowledgement, invoice, credit agreement, or policies published on Advance Components' website (https://www.advancecomponents.com), constitute the entire agreement between the parties.
